Terms of Use

1. Agreement to Terms

These Terms of Use govern your use of By Divine Inspiration’s website and services. By accessing our website, booking services, or entering into a service contract, you agree to these terms.

If you don’t agree, don’t use our services.

2. Services We Provide

We offer:

  • Wedding and event planning
  • Event design and decor
  • Equipment rentals (tables, chairs, linens, decorative items)
  • Day-of coordination and vendor management

Specific services will be detailed in your service contract, which takes precedence over these general terms for the services it covers.

3. Eligibility

You must be at least 18 years old to use our services. If booking on behalf of an organization, you confirm you have authority to bind that organization.

4. Fees and Payment

Deposits:

  • A non-refundable deposit (25-50% of total fees) is required to secure your date
  • Due within 7 days of contract signing
  • Applied toward your total but never refunded

Payment Schedule:

  • Final payment due 7 days before your event date
  • Late payments incur 5% fees plus 1.5% monthly interest
  • We may suspend services if payment is overdue

What’s Not Included: Unless your contract says otherwise, our fees don’t cover third-party vendor costs (catering, photography, flowers, venue fees, etc.), travel expenses, permits, or taxes.

5. Cancellations and Changes

Your Cancellation:

  • Deposit is always forfeited
  • More than 180 days out: Refund of additional payments minus costs incurred
  • 90-179 days: 50% of contract value due
  • 60-89 days: 75% of contract value due
  • 30-59 days: 90% of contract value due
  • Less than 30 days: 100% of contract value due, no refunds

You’re also responsible for non-refundable third-party vendor deposits we paid on your behalf.

Postponements:

  • Subject to our availability on the new date
  • Fees apply based on how far in advance you postpone
  • Generally allowed once only

Our Cancellation: If we cancel without cause, you get a full refund minus costs incurred. If we cancel due to your breach (non-payment, misconduct, etc.), you forfeit your deposit and owe all costs incurred.

6. Equipment Rentals

Your Responsibilities:

  • Care for rented items as if they were your own
  • Don’t move items from the event location
  • Don’t alter, mark, or damage items
  • Supervise guests to prevent damage

Damage and Loss: You’re fully responsible for any loss, theft, or damage to rental equipment from delivery until pickup, regardless of fault. You’ll be charged:

  • Repair costs plus 20% handling fee for minor damage
  • Full replacement cost plus lost rental income for major damage or loss
  • Excessive cleaning fees ($25-$200 per item) if needed

We strongly recommend event insurance that covers rented equipment.

7. Intellectual Property

We Own:

  • Our designs, concepts, and creative work
  • Website content, logo, and trademarks
  • Event photos and videos we take

Photography and Marketing: Unless you opt out in writing, we may photograph your event and use images for marketing, portfolio, and social media. You can request privacy by notifying us before setup begins.

You Retain:

  • Ownership of materials you provide to us
  • By providing materials, you grant us a license to use them to perform our services

8. What We’re Not Responsible For

Limitations: We’re not liable for:

  • Third-party vendor performance (venues, caterers, photographers, etc.)
  • Weather, natural disasters, or other events beyond our control
  • Guest behavior or injuries at your event
  • Venue policies or restrictions
  • Lost profits, emotional distress, or consequential damages

Maximum Liability: Our total liability for any claim is capped at the amount you actually paid us under your service contract.

Services “As Is”: We provide services without guarantees that everything will be perfect or exactly as envisioned. Event planning involves inherent uncertainties.

9. Force Majeure

Neither party is liable for failures caused by events beyond reasonable control (natural disasters, pandemics, government restrictions, etc.).

If a force majeure event prevents your event:

  • We’ll work with you to postpone if possible
  • If cancellation is necessary, you’ll get a refund of payments made, minus non-recoverable costs and a reasonable administrative fee (up to $500 or 10% of contract value)

We strongly recommend event insurance to protect against these situations.

10. Your Obligations

You agree to:

  • Provide accurate information and timely responses
  • Make timely decisions and approvals
  • Ensure venue access for setup and breakdown
  • Pay all fees when due
  • Indemnify us against claims arising from your event, guest behavior, or your breach of these terms

11. Confidentiality

We’ll keep your event details and personal information confidential, except:

  • As needed to provide services and coordinate with vendors
  • For marketing purposes (unless you opt out)
  • As required by law

12. Disputes

Governing Law: Laws of Guyana apply.

Resolution Process:

  1. First, we’ll try to resolve disputes through good-faith negotiation (30 days)
  2. If that fails, disputes go to the courts of Guyana

Important Limits:

  • You must file any claim within one year of when it arose
  • No class actions—all disputes resolved individually
  • Prevailing party recovers attorney fees

13. General Terms

Changes to Terms: We may update these terms with 30 days notice for material changes. Continued use means you accept the changes.

Assignment: You can’t transfer your contract without our consent. We can assign to affiliates or in connection with a business sale.

Entire Agreement: These terms, plus your service contract and our privacy policy, make up the complete agreement between us.

Your Acceptance

By using our services, you confirm you’ve read and understood these terms and agree to be bound by them. If you’re booking on behalf of an organization, you confirm you have authority to bind that organization.

This is a legally binding contract. Please read carefully before engaging our services.
